Agreement and operator

These Terms and Conditions (“Terms”) are an agreement between the person or business using DineUp (“you” or the “Restaurant”) and Kartik Dixit, carrying on business as DwarkaLabs, a sole proprietorship registered under Udyam (“DwarkaLabs”, “DineUp”, “we”, “us” or “our”). DineUp is a product of DwarkaLabs.

By creating an account, selecting an acceptance control, or using the restaurant dashboard or related services, you agree to these Terms and our Privacy Policy. If you do not agree, do not create or use a restaurant account.

Eligibility and authority

The person accepting these Terms must be at least 18 years old, able to enter a binding contract and authorised to act for the Restaurant. If the Restaurant is operated through a family business, a team member under 18 may use the service only under the responsibility and supervision of an adult proprietor, guardian or authorised account holder. The adult account holder remains responsible for that use.

Accounts and security

You must provide accurate account and restaurant information, keep it current, protect login credentials and promptly remove access for people who no longer work with the Restaurant. You are responsible for actions taken through your account and for assigning appropriate team permissions. Tell us immediately at support@dineup.site if you suspect unauthorised access.

The DineUp service

DineUp provides tools for QR menus, table ordering, order management, restaurant dashboards, operational analytics, data exports and related support. We host and operate the platform, database and backups. Features may be introduced, changed, tested or retired as the product develops. We will use reasonable efforts to give advance notice when a material change significantly reduces an active paid service.

Trials, free and paid plans

DineUp may offer a limited trial or free plan so a Restaurant can evaluate the service. Trial length, usage limits and included features may be shown during signup or communicated separately. We may change or discontinue a trial or free plan with reasonable notice.

You will not be charged unless you expressly choose a paid plan and provide or approve the required billing method. Paid-plan pricing, billing cycle, taxes and included features will be disclosed before purchase. Cancelling a recurring plan stops future renewals but does not normally refund an already-started billing period, except where required by law or expressly stated otherwise.

Restaurant responsibilities

The Restaurant is responsible for:

  • the accuracy, legality and currency of menus, prices and taxes;
  • food preparation, quality, availability, allergens and safety;
  • displaying required consumer, tax and business information;
  • reviewing and fulfilling orders received through DineUp;
  • training team members and managing their access;
  • using guest and order information lawfully; and
  • maintaining compatible devices and internet connectivity.

You must not make misleading claims about DineUp, present us as the restaurant or food provider, or use the service in a way that harms guests, other restaurants or the platform.

Guest orders and fulfilment

DineUp is software that communicates a guest’s selections to the Restaurant. The Restaurant—not DwarkaLabs—is the seller and fulfiller of food and beverage orders and is responsible for accepting, rejecting, preparing, serving, correcting or refunding them. Unless a separate feature expressly states otherwise, DineUp does not process payment, deliver food or guarantee that an item remains available.

Restaurants should monitor their dashboard and maintain a sensible fallback process for connectivity or device failures. A technical acknowledgement does not by itself guarantee restaurant acceptance or fulfilment of an order.

Data, analytics and exports

We store order and operational information so authorised restaurant users can manage service, review history and access analytics. The Restaurant may request an available export for an authorised date range, such as the previous month, three months, six months or twelve months. We may verify identity and authority before producing an export.

Analytics are operational aids based on available data and may be delayed, incomplete or affected by restaurant configuration. They do not constitute financial, tax, legal or staffing advice. Personal information is handled under our Privacy Policy.

Acceptable use

You must not:

  • break the law or infringe another person’s rights;
  • upload malware or attempt to bypass security or access controls;
  • probe, overload, scrape or disrupt the service without permission;
  • access another restaurant’s account or data;
  • reverse engineer the service except where law cannot restrict it;
  • resell or sublicense DineUp without our written agreement; or
  • use order notes to collect unnecessary sensitive information.

Ownership and content

DwarkaLabs owns DineUp, including its software, design, branding, documentation and platform-generated materials, excluding content supplied by restaurants or their licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use DineUp for your Restaurant while your account remains authorised.

You retain rights in your menu text, images, marks and other content. You grant us the permission needed to host, reproduce, format and display that content to operate and improve the service. You confirm that you have the rights needed to provide it.

Third-party services

DineUp relies on third-party infrastructure and integrations such as hosting, database, authentication, email and mapping services. Their outages or changes can affect DineUp. Where you choose a third-party integration, its separate terms and privacy practices may also apply.

Suspension and termination

You may stop using DineUp or request account closure by contacting support. Before closure, request any export you need. We may suspend or restrict access when reasonably necessary to protect security, prevent unlawful or harmful use, address non-payment, comply with law or investigate a material breach. Where practical, we will explain the reason and provide a chance to fix it.

We may terminate the service for a material breach that is not corrected after notice, for serious misuse, or if DineUp is discontinued. Terms that by their nature should continue—such as ownership, payment obligations, liability and dispute provisions—will survive termination.

Availability and warranties

We aim to provide a reliable service, but DineUp is supplied on an “as available” basis. Maintenance, internet failures, third-party services and events outside reasonable control may interrupt access. To the extent permitted by law, we do not promise uninterrupted or error-free operation, a particular commercial result, or that analytics will be complete in every circumstance. Nothing in these Terms excludes a warranty or consumer right that applicable law does not allow us to exclude.

Liability

Each party remains responsible for loss it causes through fraud, wilful misconduct, breach of confidentiality or other liability that cannot lawfully be limited. To the extent permitted by law, DwarkaLabs is not responsible for indirect or consequential loss, lost profits, restaurant fulfilment issues, inaccurate restaurant content, or failures caused by the Restaurant, guests, internet providers or third-party services.

For claims arising from a paid plan, our total liability will not exceed the fees you paid for that plan during the six months before the event giving rise to the claim. For a free or trial service, our total liability will not exceed ₹5,000. These limits do not apply where applicable law prohibits them.

Law and disputes

These Terms are governed by the laws of India. Before filing a claim, each party will try in good faith for 30 days to resolve the matter through written discussion. If it is not resolved, the courts in Bengaluru, Karnataka will have exclusive jurisdiction, subject to any forum or remedy that applicable consumer law requires.

Changes and contact

We may update these Terms as the service develops. We will post the revised Terms, change the “Last updated” date and provide reasonable notice of material changes. Continuing to use DineUp after a notified effective date means you accept the revised Terms; if you do not accept them, you may stop using the service and request account closure.

Questions about these Terms can be sent to support@dineup.site. Notices to the proprietor can be sent to kartik@dineup.site.
